Bruce Smith

Bruce Smith was appointed as the Canadian President and Chief Operating Officer of Element Financial Corporation in May 2011. Mr. Smith retired as COO in October 2015. Prior to joining Element, from 2006 to 2011, Mr. Smith served as the Managing Director and Senior Vice President of Vendor Finance at CIT Financial. Earlier in his career, he held several senior management positions at Newcourt Credit Group and also served as President and General Manager of Dell Financial Services in Canada. Mr. Smith has a Bachelor of Commerce degree from McMaster University and has been a member of the Institute of Chartered Accountants of Ontario since 1985.

Fraser Clarke

Mr. Clarke is an experienced entrepreneur who brings a wealth of strategic and fiscal management experience to the Board of Axis. Mr. Clarke was one of the founding investors and a Director of Element Financial Corporation (TSX: EFN) from 2010 to 2013. Since 2014, he has acted as President and CEO of Massage Addict Inc. Previously, from 2009 to 2013, Mr. Clarke was the President and CEO of Herbal Magic. Mr. Clarke also held positions with CCC Investment Banking and Ernst & Young LLP. Mr. Clarke is a designated Chartered Accountant and Certified Financial Analyst and holds a Bachelor of Commerce Honors from Memorial University.

Robert Howe

Mr. Howe is a seasoned international executive with over 25 years of senior level management experience in the financial services sector. He has spent most of his corporate career in asset finance with National Leasing Group and AT&T Capital Canada. Newcourt Credit Group acquired AT&T Capital Corp and Mr. Howe was appointed as Managing Director of the Continental European business which supported 16 countries, had 150 staff and owned and managed assets exceeding $1 billion. Mr. Howe is currently a founding investor and COO of Toronto based Contract Capital Inc.

Jordan Zinberg

Mr. Zinberg is Managing Director and Portfolio Manager at Donville Kent Asset Management, an investment fund with $300 million in assets under management. Mr. Zinberg has 14 years of capital markets experience, having built and managed portfolios for several prominent Canadian families and institutions. Prior to joining Donville Kent in 2009, Mr. Zinberg spent 7 years at RBC Dominion Securities in various portfolio management roles. Mr. Zinberg has an MBA from the Schulich School of business, holds the Chartered Investment Manager designation and is a fellow of the Canadian Securities Institute.

Josh Arbuckle

Mr. Arbuckle is a partner of Chitiz Pathak LLP, a Toronto law firm serving clients in the securities and investment industries. Mr. Arbuckle practices principally in the areas of corporate, securities, mergers, acquisitions and commercial law. Mr. Arbuckle was previously a director of a number of publicly traded capital pool companies all of which completed their Qualifying Transactions . Mr. Arbuckle is also corporate secretary to a number of private and public companies. Mr. Arbuckle was called to the Ontario Bar in 1999, having completed his LL.B. at the University of Western Ontario in 1997. Mr. Arbuckle is also called to the New York Bar, having worked for the New York offices of Shearman & Sterling LLP. Mr. Arbuckle obtained his Bachelor of Arts from McGill University in 1993.

David Mitchell

Mr. Mitchell is the CEO and founder of Stillbridge Ventures Inc., a corporate consulting firm to small and emerging businesses. Mr. Mitchell has had a career in the finance industry of over 29 years. Beginning in 2011, Mr. Mitchell founded and has been CEO of the Whiteknight Acquisitions series of CPCs of which to date three have been listed on the Exchange and completed their Qualifying Transactions. Mr. Mitchell is a director of Intrinsic4D Inc. (TSXV: IFD) and of Delivra Corp (TSXV: DVA). In December 2015, Mr. Mitchell became a director of CUP Capital Corporation (TSXV: CPU.P), a CPC.

Todd Hudson

Todd Hudson has more than 20 years of sales management experience in the Canadian leasing industry at Newcourt Financial and CIT Group prior to joining Element Financial Corporation in 2009. Todd has played a pivotal role in Element’s growth and was instrumental in the development of the Company from a small regional finance company to a public Company with a North American footprint. Todd currently serves as COO for Vendor & Commercial Finance at ECN Capital Corp., a company created through the split of Element Financial. Prior to joining Element, Todd was the President of Hathway Financial, a financial services company that specialized in small to mid-sized commercial credits in the transportation, construction and industrial equipment markets.

J. Stephen Sands

Steve Sands founded Element Financial Corporation in 2007 and has been instrumental in the Company’s growth to one of North America’s largest independent finance companies. He currently serves as the Chief Credit Officer of ECN Capital Corp., a company created through the split of Element Financial. As CCO, he oversees all credit underwriting and risk management functions. Prior to forming Element, he served in senior operational and credit underwriting positions within the Canadian Equipment Leasing and Banking industries including positions as Chief Operating Officer at Maxium Financial and Vice President, Commercial & Industrial Finance at Newcourt Credit Group. For several years, Steve has served as a leader in the Entrepreneurs-in-Residence Program at the Institute for Entrepreneurship, Ivey Business School in London, Ontario. Mr. Sands holds a Bachelor of Arts and Master degree in Business Administration from the University of Toronto.
